1. Eligibility and Geographic Scope

  • You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Platform.
  • The Platform is geofenced for use within the Republic of Uganda. Marketplace, price-reporting, SACCO, and aerial mapping features require a Ugandan district.
  • You must have the legal capacity to enter into these Terms on your own behalf or on behalf of a registered SACCO/cooperative you are authorized to represent.

2. Account Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must enable Multi-Factor Authentication (MFA) for administrative accounts and are strongly encouraged to enable MFA for all accounts.
  • You agree to notify us immediately at support@snowvue.com if you suspect unauthorized access.
  • We may, at our discretion, lock or terminate accounts that exhibit suspicious behaviour, repeated failed logins, or violation of these Terms.

3. Permitted Use

You may use the Platform to:

  • Maintain agricultural records and activity logs;
  • Report and view market prices;
  • List, buy, sell, or barter agricultural goods within the marketplace;
  • Upload aerial mapping scans of your own fields or your SACCO’s fields;
  • Receive AI-generated insights, weather alerts, and SACCO communications;
  • Participate in community forums and shorts, subject to community guidelines.

4. Prohibited Activities

You must NOT use the Platform to:

  1. List or trade prohibited goods, including but not limited to: narcotics, controlled substances, firearms, ammunition, explosives, counterfeit goods, endangered species (including ivory and pangolin scales), human remains, stolen property, or any goods whose sale violates Ugandan law.
  2. Misrepresent prices, harvests, or product condition, including knowingly submitting false market prices, falsifying yields, or selling adulterated produce.
  3. Harass, threaten, defame, or impersonate any person, including other users, our staff, SACCO administrators, or extension officers.
  4. Spam the marketplace, forums, or chat with repetitive, off-topic, or commercial messages outside the marketplace.
  5. Upload content that infringes third-party rights, including copyrighted images, trademarks, or trade secrets you do not own.
  6. Upload aerial imagery of land you do not own or have authorization to map, or imagery containing identifiable third parties without their consent.
  7. Reverse-engineer, scrape, or systematically extract data from the Platform, except where expressly permitted by our public API documentation.
  8. Bypass security controls, including rate limits, MFA, geofence, or moderation systems.
  9. Distribute malware, viruses, or any code intended to damage or impair the Platform or other users.
  10. Use AI features to generate content that is illegal, harmful, defamatory, or violates these Terms.
  11. Sexually explicit, hateful, violent, or discriminatory content (App Store / Play Store policy compliance).
  12. Violate any export-control, sanctions, or anti-money-laundering laws. Violation may result in content takedown, account suspension, account termination, refund forfeiture, and reporting to authorities. We reserve the right to apply such measures at our discretion, subject to our moderation policies described in §12.

5. User Content and Intellectual Property

  • Your content remains yours. You retain all rights to the agricultural records, photos, aerial mapping scans, prices, listings, posts, and other content you submit (“User Content”).
  • Licence you grant us. You grant Snowvue a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt (for format conversion only), and display your User Content solely as necessary to operate, secure, moderate, and improve the Platform. This licence terminates when you delete the content or your account, except where retention is required by law or for ongoing transactions (e.g., a 7-year tax record for a completed sale).
  • Aggregated/de-identified data. We may use aggregated and fully de-identified data derived from User Content for analytics, research, and improving the Platform, without restriction.
  • Snowvue IP. The Platform, including the Snowvue brand, logos, software, and content we author, is the property of Snowvue or our licensors and is protected by intellectual-property laws. You receive only a limited, non-transferable licence to use the Platform under these Terms.

6. Marketplace and Fees

6.1 Marketplace participation is voluntary.

You may use the Platform for record-keeping without ever listing or buying.

6.2 Service Fees — Sell Marketplace

When a Sell-marketplace deal completes (both parties confirm payment), Snowvue charges a service fee on the sale value:

  • 6% when the seller is an individual;
  • 4% when the seller is part of a SACCO or registered cooperative. Fees are calculated automatically and itemized on the deal screen.

6.3 Service Fees — Barter

Barter trades are fee-free by design.

6.4 SACCO Onboarding Fee

SACCO/cooperative onboarding is UGX 200,000 as a one-off setup fee.

6.6 Refund Policy

  • Sale value (buyer to seller) is paid peer-to-peer outside the Platform; Snowvue does not hold or refund sale proceeds.
  • Service fees paid to Snowvue are refundable in the following cases, at Snowvue’s discretion:
  • Verified non-delivery of goods,
  • Confirmed fraud by the counterparty,
  • Administrative takedown of the listing or thread,
  • Duplicate or erroneous charge.
  • Refunds are issued through the original payment channel within 14 business days.
  • Refunds may be granted in full or part by global administrators through our moderation tooling.

6.7 Taxes

You are solely responsible for any taxes, levies, or duties arising from your transactions (including VAT, withholding tax, and income tax owed to the Uganda Revenue Authority).

7. SACCO and Cooperative Accounts

  • SACCO administrators may onboard members, view tenant-scoped marketplace and aerial mapping data, and moderate tenant content.
  • SACCO administrators agree to use member data only to provide cooperative services and to comply with the Uganda DPPA and our Privacy Policy as data processors of their member data.
  • Snowvue may suspend SACCO accounts that violate these Terms or that fail to maintain DPPA compliance.

8. Aerial Mapping Imagery

  • By uploading an aerial mapping scan you confirm that you own, lease, or have explicit authorization to map the land depicted, and that no identifiable third parties are visible without their consent.
  • EXIF GPS metadata is stripped on upload; only the boundary you explicitly draw is retained.
  • Aerial mapping scans are automatically deleted 365 days after upload unless you delete them sooner. AI yield estimates derived from your scans are advisory only.
  • You are responsible for complying with all Uganda Civil Aviation Authority regulations governing drone operations (the aircraft used for aerial mapping).

9. AI Insights and Estimates

AI features (yield estimation, pest/disease analysis, AI Q&A, content moderation) are provided “as is,” for informational purposes only, and do not constitute professional agronomic, veterinary, legal, or financial advice. We do not guarantee the accuracy or reliability of AI outputs. You should independently verify before acting on AI suggestions.

10. Weather Alerts

Weather forecasts and severe-weather alerts are sourced from third-party APIs (see Privacy Policy §6). They are advisory only and do not guarantee any future weather conditions. We are not liable for losses resulting from reliance on these alerts.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy and Consent Form, which are incorporated into these Terms by reference. Together, these documents describe what data we collect, how we use it, your rights, and our security measures.

  • Privacy Policy: snowvue.com/legal/privacy
  • Consent Form: snowvue.com/legal/consent

12. Moderation and Takedown

Snowvue operates content moderation under a published transparency policy:

  • User-generated content (listings, posts, photos, chat messages) is subject to automated and human moderation.
  • Global administrators may take down listings, lock marketplace threads, force-refund service fees, broadcast safety notices, and (in extreme cases) suspend or terminate accounts.
  • SACCO/tenant administrators may moderate content within their cooperative’s scope only.
  • Every moderation action is recorded in an audit log retained for 7 years.
  • Affected users receive an in-app notice with the moderation reason and may appeal to support@snowvue.com.

13. Notifications and Communications

By creating an account you agree to receive service notifications (security, marketplace, payment, moderation) by email and in-app banner. You may opt out of optional broadcast/marketing notifications through your profile settings without affecting your account.

14. Disclaimers

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, Snowvue disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. Snowvue does not warrant that the Platform will be uninterrupted, error-free, secure against all attacks, or that AI outputs are accurate.

15. Limitation of Liability

To the maximum extent permitted by law, Snowvue (and its officers, directors, employees, affiliates, and licensors) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the Platform. Snowvue’s aggregate liability to you for all claims arising out of or relating to the Platform shall not exceed the greater of: (a) the total fees you paid to Snowvue in the twelve (12) months preceding the event giving rise to liability; or (b) Uganda Shillings Three Hundred and Seventy Thousand (UGX 370,000). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for death, personal injury, fraud, or wilful misconduct).

16. Indemnification

You agree to indemnify, defend, and hold harmless Snowvue and its affiliates from any claims, damages, losses, liabilities, and reasonable legal fees arising from: (a) your User Content; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your marketplace transactions with other users.

17. Termination

  • You may terminate by deleting your account through the in-app profile screen at any time, without penalty.
  • We may terminate or suspend your account immediately for material violation of these Terms, applicable law, or to protect the integrity of the Platform.
  • Sections that by their nature should survive (Privacy obligations, IP, limitations of liability, indemnification, dispute resolution, governing law) survive termination.

18. Governing Law

These Terms are governed by the laws of the Republic of Uganda, including the Uganda Data Protection and Privacy Act, 2019, and are subject to the exclusive jurisdiction of the courts of Uganda, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. Dispute Resolution

  • Step 1 — Informal resolution. Before filing any formal claim, you agree to first contact support@snowvue.com and attempt to resolve the dispute informally for at least 30 days.
  • Step 2 — Mediation. Unresolved disputes shall be referred to mediation under the Centre for Arbitration and Dispute Resolution (CADER) in Kampala.
  • Step 3 — Arbitration or Court. If mediation fails, the dispute shall be resolved by binding arbitration under CADER rules in Kampala, Uganda, or, at either party's election, by the competent courts of Uganda.
  • Class-action waiver. Disputes shall be resolved on an individual basis; class actions are waived to the extent permitted by law. Nothing in this section limits your right to lodge a complaint with the Uganda Personal Data Protection Office (PDPO) or any other competent regulator.

20. Changes to These Terms

We may amend these Terms by posting an updated version with a new “Last Updated” date. Material changes will be notified at least 30 days before they take effect by in-app banner and email. Continued use after the effective date constitutes acceptance. Historical versions are archived at snowvue.com/legal/terms/history.

21. Miscellaneous

  • Entire agreement. These Terms, with the Privacy Policy and Consent Form, are the entire agreement between you and Snowvue.
  • Severability. If any provision is held unenforceable, the remainder remains in effect.
  • No waiver. Snowvue’s failure to enforce any provision is not a waiver.
  • Assignment. You may not assign these Terms; we may assign them to an affiliate or successor.
  • Headings. Headings are for convenience only.
  • Languages. These Terms are provided in English, French, and Swahili. In case of conflict, the English version controls.
